3. Use of the Service

By submitting User Content to the Service, you grant Proposal Genie a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the User Content in any form, media, or technology, whether now known or later developed. You also grant other users of the Service the right to access, view, store, or reproduce the User Content for their personal use. You are solely responsible for the User Content that you submit, post, or otherwise make available on the Service, and you agree to indemnify and hold Proposal Genie and our affiliates and licensors harmless from any and all claims, damages, expenses, or other losses arising from or relating to your User Content. We do not endorse any User Content and we have no obligation to monitor, review, or remove any User Content. However, we reserve the right to do so at any time and without notice, in our sole discretion.

8. Governing Law and Jurisdiction

These terms of use shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. You agree to submit to the exclusive jurisdiction of the courts located in Los Angeles County, California, for the resolution of any disputes arising out of or relating to these terms of use or the Service.

9. Miscellaneous

9.1 Entire agreement

These terms of use constitute the entire agreement between you and Proposal Genie with respect to the Service, and supersede all prior or contemporaneous communications and proposals, whether oral or written.

9.2 Waiver

The failure of Proposal Genie to exercise or enforce any right or provision of these terms of use shall not constitute a waiver of such right or provision.

9.3 Severability

If any provision of these terms of use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these terms of use remain in full force and effect.

9.4 Assignment

These terms of use and any rights and licenses granted hereunder may not be transferred or assigned by you, but may be assigned by Proposal Genie without restriction.
